Terms of Service

1. Eligibility and accounts

You must be at least 18 years old and legally able to enter into a contract in your jurisdiction. When you create an account you agree to provide accurate information, keep it current, and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us at [email protected] if you suspect unauthorized access.

2. License and permitted use

Subject to these Terms and your timely payment of applicable fees, A3E grants you a limited, non-exclusive, non-transferable, revocable license to access and use the services for your own internal business or personal use. You may not: (a) resell, sublicense, or redistribute the services except as we expressly authorize, (b) reverse engineer, decompile, or attempt to extract source code except to the extent that applicable law permits, (c) use the services to build a competing product, (d) remove or obscure proprietary notices, (e) use the services to violate any law, infringe third-party rights, send spam, distribute malware, or engage in harassing, deceptive, or abusive conduct.

3. Your content

You retain ownership of content you upload, generate with, or publish through our services ("Your Content"). You grant A3E a limited license to host, process, transmit, display, and distribute Your Content solely as needed to provide the services you request, including pushing Your Content to third-party platforms you have explicitly connected and authorized. You represent that you have all rights necessary to grant this license and that Your Content does not infringe any third party's rights or violate any law.

4. Third-party integrations

Our services interoperate with third-party platforms including TikTok, YouTube, LinkedIn, X, Instagram, Pinterest, Gumroad, Stripe, PayPal, and Cryptohopper. Your use of those platforms is governed by their own terms and privacy policies. We act on your instruction when we read from or write to those platforms through credentials you provide. You remain responsible for complying with each platform's terms, content rules, and community guidelines. We may suspend or terminate an integration if a platform revokes our access or requires us to discontinue a feature.

5. Subscriptions, fees, and refunds

Paid plans are billed in advance on the cadence you selected (monthly or annually). Fees are stated in the currency shown at checkout and exclude applicable taxes. Plans auto-renew unless cancelled before the renewal date. You may cancel at any time from your billing portal; cancellation takes effect at the end of the current billing period, and you retain access through that period. Refunds are offered within 14 days of the original charge for new subscribers who have not materially used the service, at our reasonable discretion. One-time digital-product sales are final unless the product was materially defective or not delivered.

6. Trading signals and automation disclaimers

Our trading signal and automation services (including A3E Ultimat3Strategy and NeuroTrade) are provided for informational and educational purposes only. They are not investment advice, financial advice, or a recommendation to buy, sell, or hold any security, commodity, or financial product. Past performance does not guarantee future results. You are solely responsible for your own trading decisions and for consulting qualified financial, legal, and tax professionals. A3E is not a registered investment adviser, broker-dealer, or money manager in your jurisdiction unless expressly stated in writing.

Our compliance, reminder, and automation services do not constitute legal or compliance advice. You remain responsible for your own regulatory obligations.

7. Service availability

We aim for high availability but do not guarantee that the services will be uninterrupted or error-free. We may change, suspend, or discontinue any feature at any time with reasonable notice. Scheduled maintenance and emergency fixes may cause brief interruptions.

8. Intellectual property

A3E and our licensors own all rights, title, and interest in the services, including the software, AI engines, models, trademarks, logos, and documentation. These Terms do not grant you any ownership rights in our intellectual property.

9. Warranty disclaimer

The services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, A3E disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

10. Limitation of liability

To the maximum extent permitted by law, in no event will A3E or its officers, directors, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if A3E has been advised of the possibility of such damages.

A3E's total aggregate liability to you for all claims arising out of or relating to the services or these Terms will not exceed the greater of (a) the fees you paid to A3E for the services during the 12 months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD 100).

11. Indemnification

You will defend, indemnify, and hold harmless A3E and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from (a) Your Content, (b) your violation of these Terms or of any law, or (c) your infringement of any third-party right.

12. Termination

We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, fail to pay fees when due, or present a risk to A3E, other users, or third parties. On termination, your license to use the services ends immediately. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, indemnity, dispute resolution) will survive.

13. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be brought exclusively in the courts located in Brampton, Ontario, Canada, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. For material changes we will provide reasonable advance notice by email or in-product notice. Continued use of the services after an update constitutes acceptance of the updated Terms.

15. Entire agreement and miscellaneous

These Terms, together with our Privacy Policy and any order form or plan-specific terms you accept, constitute the entire agreement between you and A3E about the services and supersede prior or contemporaneous communications. If any provision is unenforceable, the rest remains in effect. A waiver is effective only if written and signed by us. You may not assign these Terms without our consent; we may assign to an affiliate or successor.
